GCAP End User License Agreement
This End User Agreement (the Agreement) governs access to and use of the GoodCorporation Assessment Platform (GCAP) by individual users. By accessing or using GCAP, you confirm that you have read, understood and agree to be bound by this Agreement.

- Parties and Status
1.1 This Agreement is between GoodCorporation Ltd (“GC”) and you as an individual user (“End User”).
1.2 You acknowledge that:
1.2.1 GCAP is made available to you by or on behalf of the organisation that has contracted with GC (the Client); and
1.2.2 you are not a party to the Subscription Agreement or Master Agreement between GC and the Client.
- Right to Use GCAP
2.1 Subject to compliance with this Agreement, GC grants you a limited, personal, non-exclusive, non-transferable right to access and use GCAP solely in connection with the Client’s internal business purposes and in accordance with the permissions granted to you by the Client.
2.2 You acquire no ownership rights in GCAP or any related intellectual property.
- Acceptable Use
3.1 You shall not:
3.1.1 misuse GCAP or use it for any unlawful purpose;
3.1.2 attempt to gain unauthorised access to GCAP, accounts or data;
3.1.3 reverse engineer, decompile or modify GCAP;
3.1.4 reproduce, extract or exploit GCAP or its content other than through normal use;
3.1.5 use GCAP to create or support competing products or services;
3.1.6 share your login credentials or allow others to access GCAP using your account.
3.2 You are responsible for maintaining the confidentiality of your access credentials.
- Confidentiality
4.1 You shall treat as confidential any non-public information obtained through GCAP, including: assessment content, reports, methodologies, platform functionality.
4.2 Confidential information may be used only for the purposes authorised by the Client.
- Intellectual Property
5.1 All intellectual property rights in GCAP, GC methodologies, content, software and underlying systems are owned by and vest in GC.
5.2 Nothing in this Agreement grants you any intellectual property rights other than the limited right to use GCAP in accordance with this Agreement
- Data Protection and Privacy
6.1 GC will process personal data relating to your use of GCAP in accordance with: applicable data protection laws; and GC’s Privacy Notice, available at: https://www.goodcorporation.com/privacy (or successor URL).
6.2 Where you upload or input data into GCAP, you confirm that you are authorised by the Client to do so.
- No Reliance / No Assurance
7.1 GCAP and any content made available through it are provided for informational and assessment support purposes only.
7.2 You acknowledge that: GC does not provide legal advice or assurance through GCAP and you should not rely on GCAP as a substitute for professional judgement or advice.
- Availability
8.1 GCAP is provided on an “as is” basis.
8.2 GC does not guarantee uninterrupted or error-free access and may suspend or restrict access for maintenance, security or operational reasons.
- Limitation of Liability
9.1 To the maximum extent permitted by law: GC shall not be liable to you for any loss or damage arising from your use of GCAP. GC’s liability to you is excluded except where liability cannot be excluded by law.
- Suspension and Termination
10.1 GC may suspend or terminate your access to GCAP if you breach this Agreement, or the Client’s subscription ends or your authorisation is withdrawn.
10.2 Upon termination, you must cease all use of GCAP.
- Governing Law
This Agreement shall be governed by and construed in accordance with the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.
